These Terms of Service ("Terms") are a binding agreement between you and Felcin LLC ("Company," "we," "us") governing your use of the Nudge application and website at nudgehg.com (the "Service"). By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 and able to form a binding contract. You are responsible for your registration information, safeguarding your credentials, and all activity under your account.
Nudge helps businesses track leads and generate follow-up outreach using AI. Features and availability may change over time.
Nudge helps you draft outreach, but you are solely responsible for the messages you send and for compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state Do-Not-Call and consumer-protection laws, and carrier rules. You represent that you have obtained all required consent from recipients before contacting them. You will not use the Service to send unlawful, deceptive, harassing, or unsolicited communications. You agree to indemnify Company for any claims arising from your communications.
You agree not to: violate law or third-party rights; upload content you lack rights to; send spam or unlawful outreach; interfere with or breach the Service's security; reverse engineer or scrape except as permitted by law; or use the Service to build a competing product.
You retain ownership of the lead data and messages you submit ("User Content") and grant us a worldwide, non-exclusive, royalty-free license to host, process, and display it solely to operate and improve the Service. You represent that you have all necessary rights and consents to submit and store lead information.
AI-generated messages and scripts are drafts and may be inaccurate or inappropriate for a given recipient. They are not legal, marketing, or professional advice. You are responsible for reviewing and editing all content before use and for the results of any outreach.
The Service, including software, design, and trademarks, is owned by Company and its licensors. We grant you a limited, revocable, non-transferable license under these Terms.
The Service relies on third-party providers (e.g., Google Firebase, Anthropic), whose terms may apply. We are not responsible for third-party services.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding AI accuracy or uninterrupted operation.
To the maximum extent permitted by law, Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill. Our total liability for any claim will not exceed the greater of (a) amounts you paid us in the 12 months before the claim, or (b) US $100.
You will indemnify and hold harmless Company from claims and expenses (including reasonable attorneys' fees) arising from your User Content, your outreach and communications, your use of the Service, or your violation of these Terms or any law or third-party right.
We may suspend or terminate access for violations or to protect the Service. You may stop using the Service anytime. Provisions that should survive termination will survive.
These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict-of-law rules, with exclusive jurisdiction in Connecticut courts unless the parties agree to binding arbitration. Disputes will be resolved individually; you waive participation in class actions to the extent permitted by law.
We may update these Terms; material changes will be posted with a new "Last updated" date. Continued use constitutes acceptance.
